Scott Antoine’s practice focuses primarily in real estate, business transactions and estate planning. He has extensive experience both as a litigator and a transactional attorney, having handled complex litigation and transactions involving real estate acquisitions, capital raises including private placements, leasing, financing, employment matters and corporate formation, among other issues.


His clients include real estate and property management companies, high-net-worth individuals and a variety of privately held companies that rely on him to act as outside general counsel. In this role, he advises them on issues ranging from complex real estate and corporate transactions to day-to-day operational matters. He has represented clients in connection with a broad range of business and real estate transactions, including the negotiation and drafting of purchase and sale agreements, operating agreements, partnership and shareholder agreements, private placements, loan documents, security instruments, license agreements, software and website service agreements, commercial and multifamily residential leases, employment contracts, and more.
 

Scott is also well-versed in estate planning matters and regularly works with the firm’s clients in connection with their estate planning and business succession needs. He has years of experience drafting and implementing comprehensive estate plans.

Real Estate & Business Transactions

  • Represented real estate company in connection with a quarter-billion-dollar portfolio refinancing.

  • Represented real estate companies and developers in connection with the formation and capitalization of several multimillion-dollar residential and commercial development projects.

  • Represented sellers of two veterinary practices valued in excess of $40 million.

  • Represented sellers in connection with negotiation and drafting of purchase and sale agreement of business and real estate valued in excess of $75 million.

  • Represented sponsors and syndicators in capital raises including private placements and crowdsourced fundings.

  • Ongoing representation and counseling of businesses and property management companies on all issues including employment issues, insurance claims, landlord/tenant and risk management, and the negotiation and drafting of commercial and multi-family leases.

  • Represented a wide variety of privately held companies, including real estate, software, finance, medical equipment, and apparel companies in connection with the negotiation and drafting of all contracts, including partnership agreements, shareholder agreements, operating agreements, employment and independent contractor agreements, services agreements, consulting agreements, collaboration agreements, tenant in common and joint use agreements, and others.

  • Represented clients in negotiation and drafting of long-term license agreements, including various intellectual property assets such as copyright, trademark, name, image and likeness and patent assets.

Estate Planning

 

  • Worked with several high-net-worth individuals and families to prepare complex estate planning and business succession devices, including revocable and irrevocable trusts, wills, powers of attorney, healthcare directives, operating agreements for family-owned limited liability companies, and more.

  • Represented and guided clients through trust and estate administration process and successfully resolved numerous complex trust and estate claims, including intrafamily disputes.
